i-Fetch Evaluation License Agreement

READ THE TERMS AND CONDITIONS OF THIS AGREEMENT CAREFULLY.
This i-Fetch End-User License Agreement ("EULA") is a legal AGREEMENT between you and IdeaFarms. This product includes computer software and may include assosiated media, printed materials, and "online" or electronic documentation. By installing, copying or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, then you should NOT download, install or use the SOFTWARE PRODUCT.

By installing this software package, or exercising your rights to make and use copies of the Software (as may be provided for below), or pressing the 'Yes' button below, you agree to be bound by the terms of IdeaFarms License Agreement.

IDEAFARMS AGREEMENT FOR PRE-RELEASE SOFTWARE

IdeaFarms SOFTWARE: i-Fetch BETA

1. LICENSE

(a) Use the SOFTWARE PRODUCT for a period of sixty (60) days from the date you receive the software (the "Term"). You are granted a non-exclusive and non-transferable license to install and internally use the SOFTWARE PRODUCT for beta testing and evaluation purposes only. At the end of the Term, you must immediately cease use of and destroy the SOFTWARE PRODUCT. The SOFTWARE PRODUCT may contain a mechanism which (a) disables the SOFTWARE PRODUCT at the end of the Term and/or (b) advises the end user that the license has expired and/or (c) advises the end user that your application is using evaluation software.

(b) Recipient may not disclose the results of any benchmark test of the i-Fetch SOFTWARE to any third party without IdeaFarms prior written consent.

(c) Recipient may not reverse engineer, decompile or disassemble any portion of the SOFTWARE.

(d) Recipient may from time to time provide suggestions, comments regarding usability, bug reports, test reports or other feedback (collectively, "Feedback") to IdeaFarms with respect to the SOFTWARE. All Feedback is and shall be given entirely voluntarily.

(e) The "SOFTWARE" can periodically send feedback electronically to IdeaFarms for maintaining the usability of the product. No personal information would be used.

2. TERM OF AGREEMENT

The term of this Agreement shall commence on the date accepted by Recipient and will terminate without notice upon commercial release of the SOFTWARE, unless terminated earlier by IdeaFarms. IdeaFarms may terminate this Agreement in writing at any time, with or without cause. Upon the termination of this Agreement, Recipient shall cease use of the SOFTWARE, and if so requested, promptly return to IdeaFarms, or certify destruction of, all full or partial copies of the SOFTWARE provided by IdeaFarms.

3. SOFTWARE MAINTENANCE/UPDATES

IdeaFarms may, in its sole discretion, provide further pre-release versions, technical support, updates and/or supplements of the SOFTWARE and/or related information ("Updates") to Recipient hereunder, in which case such Updates shall also be deemed to be included in the "SOFTWARE" and therefore governed by this Agreement, unless other terms of use are provided by IdeaFarms with such Updates. In no event shall IdeaFarms be obligated to provide Recipient a copy of the commercial release version of the SOFTWARE in connection with Recipient's participation in the testing program.

4. DISCLAIMER OF WARRANTIES.
THE SOFTWARE IS DEEMED ACCEPTED BY RECIPIENT. THE SOFTWARE CONTAINS PRE-RELEASE SOFTWARE AND MAY BE CHANGED SUBSTANTIALLY BEFORE COMMERCIAL RELEASE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IDEAFARMS PROVIDE THE SOFTWARE, AND SUPPORT SERVICES (IF ANY) AS IS AND WITH ALL FAULTS, AND IDEAFARMS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY (IF ANY) IMPLIED WARRANTIES, DUTIES OR CONDITIONS OF MERCHANTABILITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF RELIABILITY OR AVAILABILITY, OF ACCURACY OR COMPLETENESS OF RESPONSES, OF RESULTS, OF WORKMANLIKE EFFORT, OF LACK OF VIRUSES, AND OF LACK OF NEGLIGENCE, ALL WITH REGARD TO THE SOFTWARE, AND THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT OR OTHER SERVICES, INFORMATION, SOFTWARE, AND RELATED CONTENT THROUGH THE SOFTWARE OR OTHERWISE ARISING OUT OF THE USE OF THE SOFTWARE. ALSO, THERE IS NO WARRANTY OR CONDITION OF TITLE, QUIET ENJOYMENT, QUIET POSSESSION, CORRESPONDENCE TO DESCRIPTION OR NON-INFRINGEMENT WITH REGARD TO THE SOFTWARE. THE ENTIRE RISK AS TO THE QUALITY, OR ARISING OUT OF THE USE OR PERFORMANCE OF THE SOFTWARE AND ANY SUPPORT SERVICES, REMAINS WITH THE RECIPIENT.
